Basic Policy

Skymark Airlines Inc.(hereinafter the “Skymark”) discloses information about management policies, business activities and financial conditions in accordance with the Financial Instruments and Exchange Act, and other laws as well as Timely Disclosure Rules to all stakeholders including shareholders and investors.
Skymark does not disclose any information that may violate rights of individuals, customers and person concerned.

Methods of Disclosure

Information subject to Timely Disclosure Rules is disclosed via the Tokyo Stock Exchange’s TDnet. Moreover, disclosure documents such as Securities Report and Quarterly Securities Report under the Financial Instruments and Exchange Act are disclosed through Electronic Disclosure for Investors’ NETwork (EDINET), which is run by Japan’s Financial Services Agency. Information that is not subject to the Timely Disclosure Rules is also openly announced via various methods including our corporate website.

Quiet Period

Skymark prevents a leak of earning-related information (including quarterly financials) and ensures fairness of disclosure by defining a quiet period from the next day of fiscal end-year date (including each quarterly financials) until the day of our earnings announcement. During this period, any questions regarding financial results cannot be responded or commented. However, if a large discrepancy from the earnings forecast is found during the quiet period, information will be disclosed in an appropriate and timely manner in accordance with the Timely Disclosure Rules.

Fair Disclosure of Material Information and Prevention of Insider Trading

Skymark has established internal rules to enforce fair disclosure and prevent insider trading while working to promote a thorough understanding and awareness of these rules by officers and employees across the entire group. In addition, insider trading is prevented through managing important information that may influence investment judgments and disclosing appropriately in accordance with any related laws and regulations including Timely Disclosure Rules.

Following this disclosure policy, Skymark endeavors to manage and improve corporate systems to disclose appropriately in accordance with any related laws and regulations including Timely Disclosure Rules.
